Description

Reporting to the Chief Business Officer and General Counsel, the Assistant General Counsel, Corporate & Securities is responsible for a broad range of legal matters, providing guidance to multiple departments within the organization, with a focus on corporate and securities matters facing a Nasdaq-listed public company. The role supports SEC filings, corporate governance, potential M&A transactions, equity compensation issues and other important legal, corporate, and strategic projects. Responsibilities include managing key securities and corporate governance activities, advising leadership on public company disclosures, providing legal support for equity-related matters, leading the development of Tourmaline’s Enterprise Risk Management framework, and collaborating with other departments to align legal support with corporate goals. Periodic travel may be required.

Requirements

Juris Doctor (J.D.) from an ABA-accredited law school is required. Active license to practice law in good standing in at least one U.S. state is required. At least 6 years of legal experience at a law firm and/or corporation practicing securities and corporate law. Experience in the pharmaceutical/biotech industry is required. At least 3 years leading in-house corporate and securities activities at a U.S. publicly-traded company is strongly preferred. Knowledge of SEC regulations, the Sarbanes-Oxley Act, Nasdaq listing rules, and related laws. Excellent writing, oral and presentation skills. Strong attention to detail, ability to meet deadlines, and perform independently in a fast-paced work environment. Strong collaboration and influencing skills.
