This individual will work cross‑functionally with Finance, Investor Relations, Human Resources, Corporate Communications, and senior leadership, providing practical, business‑oriented legal advice in a fast‑paced environment. font-size: 12pt;"><span style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Oversee disclosure controls and procedures; manage the company’s annual and quarterly reporting cycle and coordinate the Disclosure Committee process. </span></li> <li style="font-family: arial, helvetica, sans-serif; font-size: 12pt;"><span style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Plan and execute the Annual Meeting of Stockholders.</span></li> <li style="font-family: arial, helvetica, sans-serif; font-size: 12pt;"><span style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Partner with Finance and Investor Relations to support earnings releases, scripts, investor presentations, and other public communications, ensuring accuracy and compliance with Regulation FD. </span></li> <li style="font-family: arial, helvetica, sans-serif; font-size: 12pt;"><span style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Support Board of Directors and committee matters, including preparing meeting materials, minutes, corporate policies, and governance documents. </span></li> <li style="font-family: arial, helvetica, sans-serif; font-size: 12pt;"><span style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Provide guidance on governance requirements under applicable securities laws, stock exchange rules, and evolving best practices. </span></li> <li style="font-family: arial, helvetica, sans-serif; font-size: 12pt;"><span style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Oversee subsidiary governance and maintenance of domestic and international corporate entities.</span></li> <li style="font-family: arial, helvetica, sans-serif; font-size: 12pt;"><span style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Administer insider‑trading policies, 10b5‑1 plans, and equity‑related compliance activities. </span></li> <li style="font-family: arial, helvetica, sans-serif; font-size: 12pt;"><span style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Support strategic transactions such as mergers, acquisitions, investments, joint ventures, and divestitures, including diligence, drafting, negotiation, and post-transaction transitions. </span></li> <li style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Qualifications</span></strong></p> <ul> <li style="font-family: arial, helvetica, sans-serif; font-size: 12pt;"><span style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Juris Doctor (JD) degree with 10+ years of relevant corporate and securities law experience, including time at a top law firm and/or in-house at a public company.</span></li> <li style="font-family: arial, helvetica, sans-serif; font-size: 12pt;"><span style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Licensed to practice law in at least one U.S. jurisdiction (active and in good standing).</span></li> <li style="font-family: arial, helvetica, sans-serif; font-size: 12pt;"><span style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Significant hands‑on experience preparing and reviewing Forms 10‑K, 10‑Q, 8‑K, Proxy statements, and Section 16 filings in the life sciences industry. </span></li> <li style="font-family: arial, helvetica, sans-serif; font-size: 12pt;"><span style="font-family: arial, helvetica, sans-serif; font-size: 12pt;">Demonstrated understanding of securities regulations and Nasdaq listing requirements. </span></li> <li style="font-family: arial, helvetica, sans-serif;
