What “Legal & Compliance Counsel Japan” contributes to Cardinal Health

Job Summary

The Legal & Compliance Counsel is primarily responsible for providing Legal & Compliance support to Cardinal Health Japan, including the commercial division and the manufacturing site.

This role will 1) provide proactive legal and compliance support to the business: 2) manage company compliance matters and oversee the management of contracts, dispute resolutions and on-site monitoring; 3) provide guidance and advice to internal stakeholders regarding legal/compliance activities & matters.

This position reports to Head of Legal & Compliance Japan.

Essential Duties and Responsibilities

• Provide proactive legal and compliance advice and solutions to support the medical device business.
• Draft, negotiate and review commercial and manufacturing contracts such as distribution agreements, agreements with key customers and hospitals, agreements with key vendors and suppliers.
• Anticipate legal, regulatory and enforcement trends in the healthcare industry and to prepare the company to meet the opportunities and challenges presented by those trends
• Weigh in on business strategies and resolve operational issues cross-functionally
• Coordinate with external counsels on various projects from time to time within budget.
• Review promotional materials in compliance with guidelines and regulations.
• Lead or participate in international or global projects as needed from time to time.
• Coordinate IP protection in collaboration with Cardinal Health’s corporate IP team
• Support other functions wherever legal or compliance issues arise (HR, finance, R&D, QRA, Marketing, Sales, IDP, IT, etc)
• Conduct legal research and provide guidance on existing and new developments in laws and regulations that impact the business
• Enhance operational flow related to handling of contracts to ensure agility and effectiveness of legal support while realizing adequate governance and control.

• Put necessary controls in place to ensure compliance with internal policies, applicable laws and regulations, including FCPA, the Pharmaceuticals and Medical Devices Act, the Fair Competition Codes, anti-bribery laws, Antimonopoly laws, and the Act on the protection of Personal Information.
• Assist internal investigations and related interviews where necessary.
• Work cross-functionally to ensure ongoing activities (including interactions with HCPs) meets with industry norms and requirements on ethical interactions, to audit and monitor to ensure compliance with those norms and requirements.
• Work with the International Legal & Compliance team including implementing global compliance policy & procedure, legal & compliance training program to associates, streamlining work processes, etc.
• Design and conduct compliance training.
• Support and conduct third-party due diligence and suggest for mitigation plans.
• Conduct compliance risk assessments and monitoring in collaboration with internal audit teams.
• Operate or proactively participate in Japan Compliance Committee.
• Conduct disciplinary committees in collaboration with HR

Qualifications & Requirements

Must

• At least PQE 4-6 years working experience in law firm/in-house.
• Legal degree equivalent or above.
• Legal practicing certificate. Japanese or foreign qualification is acceptable.

Preferred

• Experience in Medical Device/Pharma industry.

Additional Position Requirements

• Native level Japanese and business level English.
• In-depth knowledge of Japanese laws, including antimonopoly laws, company law, and laws related to the business.

• Excellent communication and leadership skills.
• Good judgment and discretion.
• Able to escalate matters appropriately to relevant stakeholders.

ポジション概要

法務・コンプライアンスカウンセルは、主に日本のカーディナルヘルスのコマーシャル部門および製造拠点に対し、法務・コンプライアンスのサポートを提供します。 この役割は、1) 事業に対し積極的な法務・コンプライアンスサポートを提供し、2) 会社のコンプライアンス事項を管理し、契約、紛争解決、およびモニタリングを行い、3) 法務・コンプライアンスに関する事項に関して社内関係者にガイダンスと助言を提供します。 このポジションは、日本の法務・コンプライアンス責任者にレポートします。

職務と役割

• 医療機器事業をサポートするため、積極的な法務・コンプライアンスに関する助言と解決策を提供します。
• 販売代理店契約、主要顧客・病院との契約、主要ベンダー・サプライヤーとの契約など、コマーシャル部門および製造部門に関する契約書の作成、交渉、レビューを行います。
• ヘルスケア業界における法規制および執行の動向を予測し、それらの動向がもたらす機会と課題に対応できるように準備します。
• 事業戦略に意見を述べ、部門横断的に業務上の問題を解決します。
• 予算内で、必要に応じて外部弁護士と様々なプロジェクトで連携します。
• ガイドラインおよび規制に準拠して販促資料をレビューします。
• 必要に応じて、グローバルなプロジェクトを主導しまたは参加します。
• カーディナルヘルスのコーポレートIPチームと協力し、知的財産を保護します。
• 法務またはコンプライアンスの問題が発生するあらゆる部門（人事、財務、研究開発、QRA、マーケティング、営業、IDP、ITなど）をサポートします。
• 事業に影響を与える既存および新規の法規制の動向について法務調査を行い、ガイダンスを提供します。
• 適切なガバナンスと管理を実現しつつ、法務サポートの迅速性と有効性を確保するため、契約処理に関連する業務フローを強化します。
• FCPA、医薬品医療機器等法、公正競争規約、贈収賄防止法、独占禁止法、個人情報保護法を含む、社内ポリシー、適用される法令および規制への準拠を確保するために必要な管理体制を整備します。
• 必要に応じて、社内調査および関連する聞き取りを支援します。
• 医療従事者との交流を含む継続的な活動が、倫理的交流に関する業界の規範と要件を満たしていることを確認するため、部門横断的に協力し、それらの規範と要件への準拠を監査します。
• グローバルコンプライアンスポリシーと手順の実施、従業員への法務・コンプライアンス研修プログラム、業務プロセスの合理化など、グローバル法務・コンプライアンスチームと協力します。
• コンプライアンストレーニングを設計し、実施します。
• 第三者デューデリジェンスをサポートおよび実施し、リスクの緩和計画を提案します。
• 内部監査チームと協力して、コンプライアンスリスク評価とモニタリングを実施します。
• 日本のコンプライアンス委員会を運営または積極的に参加します。
• 人事と協力して懲戒委員会を実施します。

必須要件

• 法律事務所または企業内での実務経験4~6年以上（PQE）
• 法学士号またはそれと同等以上の学歴
• 弁護士資格。海外の資格も可
