This individual will play a critical role in supporting the company&#8217;s public company obligations and corporate governance functions. The ideal candidate will bring a strong understanding of public company legal operations, exceptional attention to detail, and a commitment to ethical excellence.</span><br><br><span style="font-family:Arial, sans-serif;">This is an exciting opportunity to be part of a fast-paced, mission-driven organization.</span><br><br><b><span style="font-family:Arial, sans-serif;">What You&#8217;ll Do:</span></b></span></span><ul><li><span style="font-size:12pt;"><span><span style="font-family:'Times New Roman', serif;"><span style="font-family:Arial, sans-serif;">Support the Chief Legal Officer and the legal team in fulfilling public company legal and regulatory obligations, including SEC filings, Section 16 reporting, corporate governance requirements and annual meeting administration. </span></span></span></span></li><li><span style="font-size:12pt;"><span><span style="font-family:'Times New Roman', serif;"><span style="font-family:Arial, sans-serif;">Assist with corporate governance and Board of Directors support, including formatting of Board and committee materials, maintaining corporate minute books and other materials, and using Board governance platforms (e.g., Diligent).</span></span></span></span></li><li><span style="font-size:12pt;"><span><span style="font-family:'Times New Roman', serif;"><span style="font-family:Arial, sans-serif;">Collaborate cross-functionally with Finance, Investor Relations, and HR teams to manage document workflows and ensure timely legal input.</span></span></span></span></li><li><span style="font-size:12pt;"><span><span style="font-family:'Times New Roman', serif;"><span style="font-family:Arial, sans-serif;">Maintain and manage the company&#8217;s entity management records, including U.S. and international subsidiaries.</span></span></span></span></li><li><span style="font-size:12pt;"><span><span style="font-family:'Times New Roman', serif;"><span style="font-family:Arial, sans-serif;">Manage due diligence and data rooms for financing, M&amp;A, and corporate partnerships.</span></span></span></span></li><li><span style="font-size:12pt;"><span><span style="font-family:'Times New Roman', serif;"><span style="font-family:Arial, sans-serif;">Develop and maintain corporate legal templates and standard operating procedures.</span></span></span></span></li><li><span style="font-size:12pt;"><span><span style="font-family:'Times New Roman', serif;"><span style="font-family:Arial, sans-serif;">Create and maintain organized, secure legal records in legal databases.</span></span></span></span></li><li><span style="font-size:12pt;"><span><span style="font-family:'Times New Roman', serif;"><span style="font-family:Arial, sans-serif;">Prepare and execute NDAs and CDAs</span></span></span></span></li><li><span style="font-size:12pt;"><span><span style="font-family:'Times New Roman', serif;"><span style="font-family:Arial, sans-serif;">Track board approvals related to equity grants and corporate actions. Coordinate with internal stakeholders (Finance, HR, Legal) to ensure accurate equity records.</span></span></span></span></li><li><span style="font-size:12pt;"><span><span style="font-family:'Times New Roman', serif;"><span style="font-family:Arial, sans-serif;">Prepare and maintain accurate and timely Board of Directors and committee meeting minutes, resolutions, and consents.
