The Role: 

We are seeking a Contractor, Legal Affairs to provide general contracts support across all functions, which may include, without limitation, Commercial, Supply Chain, Tech Ops, Research & Development, Clinical, IT and Facilities. The primary responsibilities of the Contractor, Legal Affairs will be contract management system oversight, template management and improvement, drafting, reviewing, revising, and negotiating general and sophisticated corporate agreements. We are seeking a dynamic and collaborative life sciences legal professional who wants to contribute to the growth of a thriving, fast-paced biotech company.

Key Responsibilities:

• Maintain accurate records for all contract-related correspondence and documentation and support the company’s internal contract database.
• Develop and implement strategies to streamline contract management processes, reducing cycle times and improving efficiency.
• Develop and refine contract templates, playbooks, and processes that enable and protect scientific discovery and drug development and enhance efficiency and consistency of contracting.
• Oversee the entire lifecycle of contracts, including drafting, reviewing, negotiating, and ensuring compliance with company policies and legal requirements.
• Draft, review, and negotiate a variety of agreements, including, but not limited to, confidential/non disclosure agreements; vendor service agreements; consultant agreements; material transfer agreements; academic research collaboration agreements; technology transfer agreements; research service agreements; investigator-sponsored study agreements; expanded access / compassionate use agreements; clinical trial agreements; and all associated amendments and statements of work.
• Work closely with internal stakeholders to define terms and conditions that align with project scopes, timelines, and business objectives.

 

Desired Experience/Education and Personal Attributes:

• College degree and at least eight years of biotechnology or pharmaceutical company legal experience.
• Detail-oriented and experienced at records and database management, including use and development of contract management systems and accurate and error-free data entry support.
• Proven experience with drafting and negotiating contracts relevant to the biotech industry (including, but not limited to confidential/non disclosure agreements; vendor service agreements; consultant agreements; material transfer agreements; academic research collaboration agreements; technology transfer agreements; research service agreements; investigator-sponsored study agreements; expanded access / compassionate use agreements; clinical trial agreements; etc.).
• Experienced at providing corporate transactional support to the legal team and other internal functions, which may include data room management, due diligence requests and coordinating and assisting with document review, drafting resolutions, certificates and other closing documents, and preparing and tracking signature pages.
• Knowledgeable about management of corporate subsidiaries, including filing of annual franchise tax reports and foreign business registrations, procurement of certificates of good standing and drafting and maintenance of corporate entity organizational and governance documents.
• Familiarity with corporate governance documents and records, including board and committee minutes, consents and other corporate filings.
• Strong knowledge of industry-specific regulations and best practices.

Location: While our corporate headquarters are located in New York City, this position is open to candidates from any location with a preference for east coast locations.
