Associate Director, U.S. Tax Operations & Reporting

Madrigal is a biopharmaceutical company focused on delivering novel therapeutics for metabolic dysfunction-associated steatohepatitis (MASH), a serious liver disease that can progress to cirrhosis, liver failure, need for liver transplantation and premature mortality. Madrigal’s medication, Rezdiffra (resmetirom), is a once-daily, oral, liver-directed THR-β agonist designed to target key underlying causes of MASH. Rezdiffra is the first and only medication approved by both the FDA and European Commission for the treatment of MASH with moderate to advanced fibrosis (F2 to F3). An ongoing Phase 3 outcomes trial is evaluating Rezdiffra for the treatment of compensated MASH cirrhosis (F4c).

Reporting to the Executive Director, Tax, the Associate Director, U.S. Tax Operations & Reporting will be accountable for Madrigal’s U.S. tax operations and global tax reporting infrastructure, including ASC 740 tax reporting, U.S. compliance, financial statement and tax authority audit readiness, SOX-aligned controls, tax technology enablement, and external advisor management. This hands-on role requires a tax professional who can independently drive work from planning through execution, deliver audit-ready work product, bring clear recommendations to senior leadership, and translate complex tax matters into practical business guidance for Finance and business partners.

Key Outcomes for Success

• Deliver accurate, timely, audit-ready quarterly and annual tax reporting under ASC 740, including the tax provision, UTPs, effective tax rate, Form 10-K/10-Q disclosures, and documentation supporting key judgments.

• Convert tax risks and technical analyses into concise recommendations, options, and decision points for senior leadership and business partners.

• Build capacity and operational leverage within the Tax function by leading external advisors and cross-functional workstreams with clear priorities, accountability, and continuous improvement.

• Establish a scalable, well-governed tax operating model that strengthens controls, improves efficiency, and supports the Company's continued growth.

• Advance the Tax function's technology and data capabilities by leveraging automation, system enhancements, and scalable digital solutions to improve efficiency, reporting accuracy, and business insights.

Key Responsibilities

Tax Provision and Financial Statements

• Own the quarterly and annual ASC 740 income tax provision process, including effective tax rate analysis, deferred tax inventory, valuation allowance assessment, uncertain tax positions, and tax-related balance sheet accounts.

• Direct the tax close calendar, deliverables, workpapers, review process, tax footnotes, disclosures, quarterly reviews, and annual audit support to deliver timely, accurate public company reporting.

• Own technical tax accounting conclusions for complex and non-routine matters, directing preparation of supporting memoranda and presenting recommendations to the Executive Director, Tax and Finance leadership.

• Drive alignment with Corporate Accounting, International Finance, FP&A, Treasury, and external auditors on forecasting, cash tax projections, reporting requirements, and key tax accounting judgments.

U.S. Tax Compliance, Operations & Audit Support

• Oversee U.S. federal, state, local, Puerto Rico, and applicable indirect tax compliance processes, including estimated payments, extensions, returns, information reporting, and other required filings.

• Govern the tax compliance calendar, risk register, documentation protocols, escalation processes, and external service provider model to ensure deadlines are met, deliverables meet quality standards, and risks are visible early.

• Lead review of tax audit workpapers, information request responses, and supporting documentation to ensure technical accuracy, completeness, and alignment with Company tax positions; escalate judgment items and recommended responses to the Executive Director, Tax

• Team with advisors on execution for U.S. international tax reporting and related calculations, including Subpart F, GILTI/net CFC tested income, FDII/foreign-derived deduction-eligible income, foreign tax credits, transfer pricing inputs, and related compliance considerations.

• Drive R&D credit analysis, documentation, process coordination, and audit readiness in partnership with tax advisors and operational business stakeholders.

• Monitor legislative and regulatory developments and advise on impacts to the Company’s tax provision, compliance profile, cash taxes, and operational tax processes.

Tax Technology, Controls & Process Infrastructure

• Establish and enhance tax controls, policies, process narratives, documentation, and operating procedures to support SOX compliance, audit readiness, and scalable public company reporting.

• Define tax requirements and lead tax implementation for ERP, tax provision, indirect tax, reporting, compliance tracking, and workflow automation initiatives in partnership with Accounting, IT, and external advisors.

• Define and execute process improvements that reduce manual processes, improve data quality, accelerate close and compliance timelines, and increase reliability of tax reporting outputs.

Cross-Functional Business Advisory & Strategic Support

• Advise Finance and business leaders on tax reporting and operational matters, translating complex tax requirements into business impact, risk, tradeoffs, and recommended next steps

• Drive alignment with internal and external stakeholders to ensure transfer pricing policies, intercompany flows, and operational processes are implemented consistently and supported by appropriate documentation.

• Champion continuous improvement across the Tax function by identifying opportunities to simplify processes, strengthen governance, and enhance the effectiveness of tax operations through scalable solutions.

Required & Desired Qualifications

• Bachelor’s degree in Accounting or a related field required; Master’s in Taxation or related advanced degree preferred; CPA required.

• 10+ years of progressive corporate tax experience, ideally including a combination of Big Four/public accounting and in-house public company multinational corporate tax experience.

• Deep expertise in public company ASC 740 income tax accounting, U.S. corporate taxation, financial statement disclosures, and tax-related SOX controls.

• Hands on experience leading complex quarterly and annual income tax provisions for multinational corporations, including ETR analysis, deferred taxes, valuation allowances, uncertain tax positions, and financial statement disclosures.

• Strong experience with U.S. federal, state, local, Puerto Rico, and indirect tax compliance, tax audit support and workpaper review, and U.S. international tax reporting and operational matters, including NCTI, FDDEI, FTCs, and related calculations.

• Experience with tax technology, ERP systems, and process automation initiatives; OneSource Tax Provision and indirect tax engine experience, such as Vertex or OneSource Indirect Tax, preferred.

• Proven ability to own technical tax analyses, manage external advisors and financial statement auditors, and communicate complex tax matters to senior leaders and non-tax stakeholders.

Base salary is determined by several factors including the candidate’s qualifications, skills, education, experience, business needs and market demands.  As of the date of this posting, a good faith estimate of the current pay scale for this position, applicable to all candidates, is $166,500 - $203,500 per year.  We comply with all applicable minimum wage laws.
